To those who complain the WP is not doing much to counter the government, let me say I think that's the smart thing to do. As long as someone is shooting himself in the foot, you should keep your distance in case of ricochets.

The town council is governed by the town council act so it is a non-partisan for the people act. If a political party starts lending or giving money to the people, there is a problem called bribery. Town Council property is collective property of the people, not the political party. If they say this, we can start taking out our cleavers and going after the the PAP because they are effectively robbing you outright in admission.

And that's what WP does. They used town council money to finance a new maintenance company n in this case try to give business to a software programmer by reinventing the wheel

Too bad WP countered by making public details of the shady business arrangement with AIM. And the elegance of the move is that WP chose to do it was PAP was trying to do damage control for Micheal Palmer.

The $2 company, Action Information Management Pte Ltd (AIM), was confirmed by Dr Teo Ho Pin, Coordinating Chairman of 14 PAP TCs, as the company which won the open tender to buy the software system, Town Councils Management System (TCMS), developed by National Computer Services (NCS) for the town councils.

Dr Teo said that AIM was the sole bidder. The software was sold to AIM for $140,000 and AIM in turn, leased it back to each TC for $785 per month. With 14 PAP TCs, the total leasing fee would be $10,990 per month (‘AIM stands to make more than $600K in current Govt term‘).

AIM also said that its 3 directors who are ex-PAP MPs, Chandra Das, Chew Heng Ching and Lau Ping Sum, “do not receive directors’ fees or any other benefits”.

Dr Teo also said that the contract between AIM and the PAP town councils was done “according to the councils’ financial rules”. The open tender to sell the software system was advertised in The Straits Times on June 30, 2010.

It’s not known how much originally was paid to NCS to develop the software system, but according to an informant who claims to be “in the loop”, TR Emeritus (TRE) understands that the software development cost was in the range of $1 million approximately.

TRE earlier wrote that AIM seems to be operating out of a virtual office (‘AIM operating out of a virtual business office‘) and wonders how AIM is going to support and manage the software system. For example, how many support staff does the $2 company have to help support and manage the software?

However, the mystery is solved when the mainstream media revealed today (25 Dec) that after getting the deal, AIM then engaged NCS to maintain and further develop the system. It’s not known if the $785 per TC per month leasing charges by AIM include maintenance and further development of the system or the TCs need to sign a separate deal with NCS for maintenance and further development.

So, the sequence of events is as follows:

TCs engaged NCS to develop the software system
TCs sold software system to AIM through an open tender with AIM as sole bidder
AIM leased the software system back to TCs for $785 per TC per month
AIM engaged NCS to manage and support the software system on its behalf for TCs


In a nutshell, assuming the informant who wrote to TRE is correct, TCs engaged NCS to develop the software for $1 million (approximated). TCs then sold the software to AIM for $140,000 and leased the software from AIM for $10,990 monthly while NCS continues to provide support for the software.

This then begs the question – Why the need for AIM when TCs could have been better off dealing with NCS directly, minus the middle-man AIM which apparently is doing nothing except taking a cut out of the deal?

All I can say is Good Work to WP,,,for exposing this piece of news,,,it has successfully turn the tables on PAP by exposing the inner workings of the PAP Town councils,,and to think the PAP wanted to expose WP as incompetent and that it 'mismanaged' the town councils.
 
If that is the case, why terminate? Why put in a clause to terminate for material change in membership? TC conduct cannot be done in a secret manner as the laws and regulations governing it calls for open scrutiny. They could easily have got what they want thru NCS and continue to do so.

Also underestimates the ability of this govt's to keep tabs in a covert manner. The WP CEC minutes of meeting is case in point.

They thought that WP being inarticulate in such matters would struggle to prove that it was illegal as they seem to take great pains to make it legal. It looks like WP purposely delayed submission of mandatory items in order to raise this matter and blow it up. 16 mths is a long time to fix it and any any sane administrator would have gone to court to at least seek an injunction on termination until a new system is running.

TR Emeritus (TRE) has since received more information on AIM from some of the readers.

AIM was formed on 22 Jul 1991, about 21 years ago [Link].

From this document [Link], we know that Ng Pock Too was the original director of the company. He was appointed the director on the same day that AIM was formed.

Ng Pock Too was the PAP’s candidate for Anson constituency in the 1984 GE. Then, JBJ (WP) beat Ng Pock Too to retain his seat in Anson. JBJ had earlier won in Anson in a 1981 by-election when Devan Nair relinquished his Anson’s seat to become the President of Singapore.

In 1988 GE, Ng Pock Too won in Nee Soon Central and became a Member of Parliament (MP). However, in the 1991 GE, he lost his seat in Nee Soon Central to SDP. Thereafter, he did not stand for election anymore. GE was held on 31 Aug in 1991. So, it appears that about a month before the 1991 GE, AIM was formed with the involvement of Ng Pock Too.

It is likely that Ng Pock Too was also a shareholder ($1) of AIM when the company started in 1991.

On 20 Dec 1991, about 5 months after the incorporation of AIM, John Wong Weng Foo was appointed director of AIM.

John Wong was a prominent IT figure in the 70s and 80s. He was in fact the top IBM person in Singapore then. He left IBM in 1990 to join Hong Leong Group. The following is the detail bio-data of John Wong from Businessweek research [Link]:

So, after John Wong left IBM in 1990, he was appointed a director of AIM the following year.

Then about 7 years later on 1 Jan 1998, Lau Ping Sum was appointed director of AIM.

Lau Ping Sum first contested in 1980 GE as a PAP candidate. He became Yio Chu Kang MP after winning the election. Subsequently he won the 1984 and 1988 elections and continued to be the Yio Chu Kang MP. In 1991, he was part of the PAP’s Ang Mo Kio GRC team and won through a walkover. Thereafter, he stepped down in 1997 and did not contest anymore.

Hence, we can see that not long after the 1997 GE when he stepped down, he became a director of AIM in Jan 1998.

It was not known when Lau became a shareholder of AIM but by 2008, the ACRA data clearly shown that the 2 shareholders of AIM were:

Lau Ping Sum $1
On 30 Jun 2008, AIM changed its auditor to its current C M Leong & Co. It was revealed that prior to this, AIM was audited by Ee Peng Liang & Company, from 20 Jan 1992 to 30 Jun 2008 [Link]. Ee Peng Liang & Company was, of course, an auditing firm founded by Ee Peng Liang, Gerald Ee’s father.

In Mar 2010, for reasons unknown, Ng Pock Too transferred his $1 share to Chandra Das. Also, Ng Pock Too and John Wong resigned from AIM as directors on 1 Mar 2010. Replacing them were Chandra Das and Chew Heng Ching [Link][Link].

Chandra Das became a PAP MP for Chong Boon constituency in 1980 through a walkover. In 1984 GE, he beat an opposition challenge to retain his seat in Chong Boon. In 1988, he was part of the PAP’s Cheng San GRC team and won through a walkover. In 1991, Cheng San was challenged by NSP but PAP was able to win then (Cheng San was now a much bigger constituency than the one in 1988). In 1997, Chandra Das decided to step down.

Chew Heng Ching first won in Kaki Bukit in 1984 GE. In 1988 GE, he contested in Eunos GRC and the PAP’s team barely scrapped through with a 50.9% winning. The opposition team was WP’s Dr Lee Siew Choh, Mohd Khalit and Francis Seow. In 1991, he again was part of PAP’s team in Eunos GRC and won the election again. In 1997 and 2001, he became part of the PAP’s East Coast GRC team and won through walkovers. In 2006, he stepped down from politics.

So, currently, AIM’s 3 directors are (all former PAP MPs):

Mr Chandra Das
Mr Chew Heng Ching
The shareholders are:

If this was done by NCS and NCS was somehow caught, it would implicate NCS and Singtel. Recall previously that there have been numerous allegations that GLCs operate for more than commercial reasons. NCS being caught red handed would give credulance to these allegations and affect the investments which have been made in sensitive companies.

Hence the need to use a $2 shell company fronted by three expendable ex-PAP MPs.

On termination, ST was trying to say that it was not AIM that terminated but that WP chose not to renew. While you should normally never believe ST, I think that there are grounds for an exception in this case. If you were WP, would you continue to use an accounting system maintained by a $2 company controlled by 3 ex-PAP MPs?
