為避免日本半導體先端技術落入他國手中,日本官方擬出手助東芝(Toshiba)財務重整。日媒報導,官方色彩的政策投資銀行、產業革新機構等,將出資共同收購東芝半導體子公司股份,至少要拿下三分之一股權。日本官方不樂見東芝技術落入中國大陸、台灣手中,屬意籌組日美聯盟。

東芝因財務危機,將半導體業務獨立分公司出售股權籌資,目前傳出約有十家公司參與招標,包括美國、台灣、韓國等企業,廿九日截止投標受理。

產經新聞報導,具大陸官方色彩的半導體大廠紫光集團也有意投標,但東芝高層表示,基於國家安全保障的顧慮,不會讓中國企業參與。日本經濟新聞則引述經濟產業省高層表示,「由技術外流角度來看,賣給中國大陸、台灣是比較不利的」。

東芝社長綱川智十四日公開記者會中則表示,東芝了解半導體技術關係國家安全,會慎選對象。

日本經濟新聞等多家媒體十七日報導指出,東芝拆分的子公司主力在智慧手機「閃存」技術,因具國際競爭力,日本政府認為有繼續參與的價值和必要,需要將技術留在國內,政策投資銀行及革新機構將參與招標,務必拿下三分之一以上股權,以掌握重要事項的否決權。

共同社報導,相關人士表示「剩餘三分之二由美國投資基金出資較為理想」,很可能組成日美聯盟。

同時,日本經濟產業相世耕弘成正在美國訪問,當地時間十六日與美國商務部長羅斯(Wilbur Ross)、能源部長裴利(Rick Perry)會談後舉行記者會,透露對方表達東芝的財務穩定對美國也很重要,雙方達成共識將分享資訊。

Westinghouse Electric, the U.S. nuclear power plant developer owned by troubled Japanese electronics giant Toshiba, has brought in bankruptcy attorneys from law firm Weil Gotshal & Manges, people familiar with the matter said on Wednesday.

The move comes after a $6.3 billion writedown at Westinghouse last month wiped out Toshiba's shareholder equity and caused it to seek divestments to create a buffer for any fresh financial problems.

A Chapter 11 bankruptcy filing by Westinghouse in the United States could help limit Toshiba's losses, two people said, cautioning that the retainment of the debt restructuring lawyers from Weil is just an exploratory step, and that no decision about a bankruptcy filing had yet been taken.

A Westinghouse spokeswoman declined to comment on Weil's role, but said that Westinghouse has hired Lisa Donahue of advisory firm AlixPartners as its chief transition and development officer, to lead "an operational restructuring and financial rebuilding."

Westinghouse is overseeing the construction of four nuclear power plants in South Carolina and Georgia, the first to be built in the United States in more than 30 years. However, these projects, owned by U.S. utility companies Scana and Georgia Power, respectively, have been plagued by cost overruns and delays.

The plants were first approved by regulators in 2012, but they required changes to the plans so that they could withstand the impact of a commercial aircraft in a possible hijacking.

"While we cannot speculate on what may happen in the future with Toshiba or Westinghouse and their overall business, we will continue to hold them, as the contractor for the Vogtle project, accountable for their responsibilities under our agreement. Progress at the Vogtle site is happening today and will continue in the future," a Georgia Power spokesman said on Wednesday, referring to the Georgia project.

Scana said in February that Toshiba and Westinghouse are committed to finishing the plants, and will have them in service by 2020.

Adding to the woes of Pittsburgh-based Westinghouse, which was acquired by Toshiba in 2006 for $5.4 billion, is its legal row with CB&I. CB&I has argued in court that it expected a relatively small payment from Westinghouse of only $161 million when the Stone & Webster deal closed, on the understanding that the latter was taking on a challenged business.

However, Westinghouse has said that it is actually owed $2 billion by CB&I.

Struggling Japanese electronics and machinery giant Toshiba Corp. is accelerating a study on the possibility of filing for so-called Chapter 11 bankruptcy protection for its U.S. nuclear power plant unit, Westinghouse Electric Co., sources said.

Toshiba has dispatched a team to the United States for assessing impact of the possible Chapter 11 filing for Westinghouse, sources said Tuesday.

Through the use of the bankruptcy proceedings, Toshiba is apparently considering cutting off the risk of incurring additional losses from its U.S. nuclear business, according to the sources.

Chapter 11 of the U.S. bankruptcy code is seen as effective in helping a company achieve rehabilitation quickly in a transparent manner based on a turnaround program approved by a court while being allowed to continue business operations.

Toshiba is speeding up its assessment work in the run-up to a board meeting for endorsing its consolidated earnings for April-December last year, which are set to be announced on March 14, the sources said.

Specifically, the company has asked a U.S. law firm and others to estimate the amount of possible additional costs.

In fiscal 2016, which ends on March 31, Toshiba expects to suffer a loss of ¥712.5 billion from its nuclear business.

According to the sources, Toshiba would be able to limit additional losses and burdens if it promotes revisions to its nuclear plant construction deals and reduces debt through the possible Chapter 11 filing.

But as Toshiba has guaranteed Westinghouse’s debt worth some ¥800 billion as of the end of March 2016, it could face additional losses, the sources said.

A senior official from a financial institution said the Chapter 11 filing would increase Toshiba’s losses by hundreds of billions of yen.

If Westinghouse files for bankruptcy protection under Chapter 11 within this month, Toshiba could not only see negative shareholder equity but also face an excess of debts on a net asset basis, sources said.

As Toshiba’s creditor banks could withdraw loans from the company under such circumstances, some Toshiba officials are cautious about using Chapter 11.

Meanwhile, most Toshiba creditors have agreed to continue loans to the company through the end of this month.

With some creditors urging Toshiba to drastically review its nuclear business, the company and creditor banks are expected to discuss financing for April and later at their meeting on March 15, the day after the planned announcement of the firm’s earnings in the first three quarters of fiscal 2016, the sources said.

The bad toshiba financials can easily be overcome as china wants to build new generation nuclear reactor to reduce their carbon footprint.Chinese can't build it themselves as some of the equipment must come from japan/europe/america. Just like their high speed railway.
